Dear Valued Tronox Customer,

I want to personally let you know about an important action Tronox has taken to restructure its balance sheet and position the company for long-term success.

Today, Tronox and certain of its subsidiaries filed for relief under Chapter 11 of the U.S. Bankruptcy Code. This action will allow us to address our current debt structure and resolve specific issues, such as legacy environmental liabilities, while continuing normal operations. Chapter 11 in the U.S. is a common business tool used to overcome ongoing obstacles and reemerge as a viable, long-term enterprise. The filing does not include our international operations in Australia, Germany and the Netherlands.

The company has taken steps to ensure continued supply of goods and services to its customers and funding for employee wages and benefits. In that regard, Tronox has received a commitment for up to $125 million in new debtor-in-possession (DIP) financing from its existing lending group led by Credit Suisse. Access to this financing, which requires court approval, means Tronox has the ability to pay employees and suppliers in the ordinary course of business going forward.

In short, we do not expect any impact on our relationship with you as a result of today’s announcement. I want to stress that the action taken today is intended to be a financial restructuring by the U.S. operating entities to address balance sheet issues. We will continue to provide you with the high quality products and unparalleled service you expect. Importantly, we stand by our commitments to customers.
